Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you and Magellan Publishing Inc. ("we," "us," "our," or the "Company"), operating as One Crypto Place (the "Service"). By checking the box or otherwise confirming your agreement at checkout, by subscribing to the Service, or by using the Service in any way — including joining our Telegram groups — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, do not subscribe to or use the Service.

2. Description of the Service

One Crypto Place monitors publicly available on-chain activity from a curated list of Solana wallets and sends alerts about that activity — such as when a monitored wallet buys or sells a token — to subscribers via Telegram. We select wallets using publicly available performance data, and we continuously monitor already-added wallets for behavior that suggests automated or bot-like trading, pausing or removing wallets when warranted. All such pauses, resumes, and removals are announced to both the paid and free Telegram groups.

The Service is purely informational. We do not execute trades, hold custody of funds, manage your assets, or provide brokerage, exchange, or money-transmission services of any kind.

3. Eligibility

To use the Service, you must:

• Be at least 18 years old;
• Be a resident of the United States or Canada (see Section 1.1 of our Privacy Policy — the Service is not offered to residents of the European Union, the European Economic Area, or the United Kingdom);
• Have the legal capacity to enter into a binding contract; and
• Not be barred from receiving services under this Company under the laws of your jurisdiction or any applicable sanctions regime.

By subscribing, you represent and warrant that you meet these requirements.

4. Not Financial or Investment Advice

This is the most important section of these Terms, so please read it carefully.

• The Service provides informational alerts about the on-chain activity of third-party wallets. Nothing in the Service — including any alert, the /results or /archive pages, any statistic we publish, or any communication from us — constitutes financial, investment, trading, tax, or legal advice, or a recommendation or solicitation to buy, sell, or hold any asset.
• We are not a registered investment adviser, broker-dealer, or financial planner in any jurisdiction, and nothing about the Service should be construed as such.
• Any decision to buy, sell, or hold any cryptocurrency or other asset based on information from the Service is made entirely at your own discretion and at your own risk. You should conduct your own research and consult a licensed financial advisor before making any investment decision.
• Published performance statistics (win rate, ROI, profit and loss, and similar figures) reflect the on-chain entry and exit prices of the monitored wallets themselves — not what you, personally, would realistically achieve by manually acting on an alert. Actual results are affected by factors we do not control and that our published statistics do not account for, including but not limited to: the delay between a wallet's transaction and your receipt of an alert; slippage and price movement between the alert and your own trade; transaction fees; the liquidity of the token in question; and the possibility that other subscribers act on the same alert at the same time, moving the price against you. Past performance of any monitored wallet is not indicative of future results.

5. Risks of Digital Assets

Cryptocurrencies and other digital assets, including the low-liquidity, early-stage tokens frequently referenced in our alerts, are highly volatile and speculative, and carry a substantial risk of loss, including the potential loss of your entire investment. Risks include, without limitation: extreme price volatility; low liquidity; the possibility that a token is fraudulent, abandoned, or a deliberate "rug pull"; smart contract or technical failure; and the risk that a wallet we monitor could itself be compromised, act in bad faith, or engage in behavior (including behavior resembling legitimate trading) that later proves to be automated, manipulative, or otherwise different from what our monitoring identified. By using the Service, you acknowledge and accept these risks.

6. Subscription, Billing, and Cancellation

• Free trial. New subscribers receive a 7-day free trial. If you do not cancel before the trial ends, your payment method will be automatically charged the then-applicable subscription price, and your subscription will continue on a recurring monthly basis until cancelled.
• Launch promotion. From time to time we may offer a limited-time promotional discount (for example, a percentage off the standard price for an introductory period) to new subscribers. Promotional pricing is applied automatically at checkout where eligible, applies only for the promotional period stated at the time you subscribed, and reverts to the then-current standard price afterward. We may end a promotional offer to new subscribers at any time without notice; doing so will not affect the promotional pricing already locked in for subscribers who signed up while the offer was active.
• Recurring billing. Your subscription automatically renews each month at the then-current price until you cancel. You authorize us (via Stripe, our payment processor) to charge your payment method on file for each renewal.
• Price changes. We may change our subscription pricing from time to time. We will provide you notice of any price increase before it takes effect on your account, and the change will apply prospectively starting with your next billing cycle following the notice.
• Cancellation. You may cancel your subscription at any time by emailing info@onecryptoplace.com. Cancellation takes effect at the end of your current billing period; you will retain access to the paid Telegram group and paid alerts through the end of that period, and you will not be charged again afterward.
• Refunds. Because every new subscriber already receives a 7-day free trial before any payment is collected, that trial period — not a post-payment refund — is your opportunity to evaluate the Service before being charged. Accordingly, except where required by applicable law, subscription fees are non-refundable once charged, including for partial billing periods; cancelling stops future charges but does not refund the current period. We may, at our sole discretion, issue a refund on a case-by-case basis — for example, if you were charged in error or the charge was clearly unintended (such as forgetting to cancel immediately after a trial ends). 7. Telegram Groups and Acceptable Use

Access to our paid Telegram group is a benefit of an active paid subscription. You agree that you will not:

• Share your access, forward paid-group alerts, or otherwise make paid content available to any person who is not an active paying subscriber;
• Use the Service for any unlawful purpose, or in any way that violates Telegram's own terms of service;
• Attempt to interfere with, disrupt, or reverse-engineer the Service, our alert-delivery systems, or our wallet-monitoring methodology;
• Harass, abuse, or threaten other members or our staff within the Telegram groups; or
• Use any automated means to scrape, copy, or redistribute alerts or published statistics at scale without our prior written consent.

We may remove you from the paid or free Telegram group, or suspend or terminate your subscription, without refund, if we reasonably believe you have violated these Terms.

8. Intellectual Property

The Service, including our alert formatting, wallet-curation methodology, website content, the /results and /archive pages, and all associated text, graphics, and branding, is owned by Magellan Publishing Inc. or our licensors and is protected by applicable intellectual property laws. Except for the limited right to use the Service for your own personal, non-commercial purposes as a subscriber, we grant you no license or rights to our intellectual property. Publicly available on-chain data and third-party trademarks referenced in our alerts (such as token names) remain the property of their respective owners.

9. Third-Party Services

The Service relies on and links to third-party services we do not control, including Telegram (for alert and community delivery), Stripe (for payment processing), and blockchain data and charting tools such as Solscan and DexScreener (referenced in alerts so you can independently verify on-chain activity). We are not responsible for the availability, accuracy, security, or practices of these third-party services, and your use of them is subject to their own terms and policies.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you, and you may have additional rights.

12. Indemnification

You agree to indemnify and hold harmless Magellan Publishing Inc. and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of: your trading or investment decisions, whether or not informed by the Service; your violation of these Terms; or your violation of any applicable law or third-party right.

13. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

You and the Company each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Hamilton, Ontario, and you and the Company each irrevocably attorn to the exclusive jurisdiction and venue of those courts for any such proceeding. Nothing in this Section is intended to limit any right you may have under applicable consumer protection legislation that does not permit this venue selection to be enforced against you as a consumer.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for a violation of these Terms, non-payment, or suspected fraudulent or abusive activity. You may cancel your subscription at any time as described in Section 6. Sections 4, 5, 8, 10, 11, 12, and 13 survive termination of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Site with a new "Last Updated" date and, where appropriate, notifying active subscribers directly. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms.

16. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
